DataWave Systems Approves InComm Acquisition

Canada’s DataWave Systems has approved its proposed acquisition by InComm Holdings for $36 million. InComm expects the merger to close on January 2nd. Atlanta-based InComm recently rolled-out a complete kiosk solution, including installation and setup, cash management, product expertise, support and more. DataWave is a provider of prepaid and stored-value delivery systems in Canada with operations in the U.S. InComm plans to integrate DataWave’s 10,000 retail locations and 6,000-plus POSA terminals located in Canada and the U.S. into its network of more than 145,000 retail locations. DataWave will become a wholly-owned subsidiary of InComm. Josh Emanuel, DataWave chairman and CEO, will remain as president of the InComm subsidiary. InComm offers financial debit cards, gift cards, music downloads, ring tones, games, long-distance cards, online games, broadband, digital television as well as bill payment solutions. The deal is expected to close in the fourth quarter.

Nextwave TitaniumPlus Prepaid MasterCard Launched

DataWave Systems has launched the first instant-issue prepaid MasterCard
card program in Canada. Consumers can purchase and reload the “Nextwave
TitaniumPlus Prepaid MasterCard” cards at participating Money Mart Stores
throughout the country. The card can be used to purchase goods and
services from millions of locations worldwide where
MasterCard is accepted. This includes Internet and mail-order purchases.
In addition, cardholders can withdraw cash from ATMs displaying the Cirrus
logo. As cardholders register with Money Mart, a Nextwave
TitaniumPlus card personalized with their name will be mailed to them to
replace the instant-issue card. DataWave is a developer of prepaid and
stored-value programs. Money Mart provide check cashing and
other basic financial services with more than 1,600 locations in Canada,
the U.S. and the U.K.

DataWave Systems’ Revenues Rise 69% in Q1

New Jersey-based DataWave Systems posted revenue of $7.7 million in the first calendar quarter, a 69% increase over one-year ago. Net income for the fourth quarter of fiscal 2005 included non-recurring costs of $459,000 related to the termination of the company’s proposed merger with Integrated Data Corp. DataWave develops prepaid and stored-value programs and merchandising solutions.

Vancouver-based DataWave Systems has signed a deal with Money Card, Moneris Solutions, CU-Connection, Nextwave Card, and PACE Savings & Credit Union to launch cash cards in the Canadian market. The cash card program is being spearheaded by Nextwave Card (50% owned by DataWave.) Nextwave will market the cash card to customers in the financial services sector providing the hardware and software required to activate and reload cards, as well as monitor and report transactions to vendors. Moneris Solutions in Toronto is responsible for settlement of funds from card transactions, while CU-Connection in Scarborough, Ont. is responsible for authorizing all transactions and providing switching services to facilitate settlement of funds. PACE Savings & Credit Union in Vaughn, Ont. is acting as the authorized Bin number issuer for all prepaid cards. National Money Mart is the first customer to use the Nextwave cash card system. Following the successful pilot of Nextwave cash cards at five Money Mart branches in Victoria, B.C., the company plans to introduce branded personal cash cards at its 295 Canadian branches in a phased rollout starting in 2004.

resigned. John Gunn, General Manager, North American Operations, has been
appointed CFO to replace Belsky. The Company also announced the appointment
of Syd Franchuk as Director of DataWave Systems. Franchuk is President of
National Money Mart Co., based in Victoria, British Columbia, the largest
provider of convenience-based retail financial services in Canada. DataWave
is a developer of prepaid and stored-value programs.

Vancouver-based DataWave reported net income of US$119,964 for the quarter
ended December 31st, compared to net income of US$22,667 for the same
period last year, an increase of 429%. Revenues increased 47% to
US$4,798,270 from US$3,273,335. DataWave’s Canadian operation generates all
its revenues from the sale of prepaid long distance and prepaid wireless
phone cards and PINs to retailers. DataWave announced in the prior quarter
its intention to become an intermediary between national Canadian prepaid
cellular providers and certain national convenience stores in order to
exploit its POSA technology. The Company has deployed 356 terminals
distributing prepaid cellular PINs in Canada as of the end of 2002. These
terminals dispensed PINs with a gross value of US$1.3 million in the
quarter ended December 31, 2002 and US$1.5 million since the program began.

Seoul-based CyberNet has unveiled its lost-cost smart card
terminal for VISA members as part of VISA’s new “Smart Breakthrough
Acceptance Device” program. The new “JADEBreakthrough” terminal will cost
slightly over $200. “JADEBreakthrough” is powered by a 32 bit processor,
the CyberSoft operating system, and supported by a JAVA development
toolkit. Globally provided with a thermal printer, for some Asian markets
“JADEBreakthrough” is offered with a multiple ply impact sprocket printer.
VISA initially announced the new low-cost terminals last month. CyberNet is
the dominant electronic payment solutions supplier in Korea. The company
dominates the smart card application market, representing “K-Cash,”
“A-Cash,” “Visa Cash,” “Mondex,” and other private payment & communications
card programs. CyberNet has also captured 60% of the EFT-POS terminal
market and 95% of all Internet payment solutions in Korea.
