MasterCard Inks M2M SPS Principal Member

Global payments and technology company MasterCard announced the appointment of M2M SPS, a leading provider of secure e-transaction processing solutions as its Principal Member in Morocco. As a new Principal Member of MasterCard, M2M SPS will be enabling its customers to leverage MasterCard’s acquiring and issuing capabilities across several merchants and e-commerce channels, backed by MasterCard’s support with a suite of advanced value-added services, technical support, training, and new payment platforms. With this enhanced collaboration, MasterCard’s point of sale will significantly increase across Morocco, thereby allowing more consumers to access MasterCard’s global payments network.

GPN & HSBC

U.S.based e-transaction provider Global Payments
has acquired the remaining 49% interest in its
merchant services joint venture in the United Kingdom from HSBC Bank plc. Under the terms of the agreement, Global Payments will pay HSBC a total of USD$307.7
million in cash to acquire the remaining 49% ownership interest in this
joint venture. In addition, HSBC will extend the current ten-year
exclusive marketing alliance agreement whereby the bank provides
merchant referrals and bank sponsorship to Global Payments to June 2019.
Global Payments used existing cash and lines of credit to complete the
transaction and anticipates the deal to be accretive in fiscal 2010 and
will provide additional financial details during its fiscal 2009
year-end earnings call, currently scheduled for July 23, 2009.
In June 2008, Global Payments and HSBC formed a joint venture, HSBC
Merchant Services, to provide payment processing services to merchants
in the United Kingdom and Internet merchants globally.

BANRURAL & TRANSTECH

Alternet’s Transtech Sino America has finalized a partnership with Banrural bank under which
Banrural will serve as Transtech’s financial partner
for E-transactions, E-ticketing and mobile payment solution projects in
Guatemala and the surrounding region, with an initial focus on mass
transportation e-ticketing solutions. Banrural’s ATM network will be
used as a recharge point of sale system for prepaid bus fare collection and
the Banrural partnership may provide key financing to
Transtech’s fleet replacement initiative in Latin America, providing
high efficiency and low emission liquid petroleum gas (LPG) buses to
municipalities with aging or inefficient bus fleets. The partnership has
the potential for additional expansion to include utilities prepayment
and municipal services. Through their joint venture Transtech, Alternet Systems is TCPS’
strategic partner in Latin America. TCPS chose Alternet Systems for
their experience in Latin America and for their proprietary wireless
e-transaction capabilities, which are complementary to TCPS’ contactless
card and financial terminals.

IntelliCAT System Interfaces to Ultradata Software

E-transaction provider MagTek’s “IntelliCAT” instant card issuance system now offers interoperability with Harland Financial Solutions “Ultradata” processing software for credit unions. The “IntelliCAT” System allows Credit Unions to offer enhanced services for their various card products such as instant issuance and secure PIN selection for Debit, Credit, ATM and Gift cards. With IntelliCAT, members can now change their PIN on an existing card, or select their PIN when opening a new account or ordering a new MasterCard or VISA Debit card. MagTek is a provider of electronic transaction technology, from magnetic stripe card readers and writers to high-accuracy MICR check readers and scanners, secure PIN issuance and cardholder verification systems.

Hypercom to Acquire Thales e-Transactions

Hypercom is in final negotiations to acquire the e-Transactions business line of Thales. The Company also announced the promotion of Philippe Tartavull to CEO from COO. Under terms of the Thales deal Hypercom would purchase the French firm’s e-Transaction business line for $120 million in cash with a potential earn out of up to $30 million. Thales Group’s Security Solutions & Services Division posted consolidated revenues for the first three quarters of 2007 of $142 million. The proposed combination would represent the third largest global provider of electronic payment solutions and services. Hypercom said it plans to finance the transaction with $60 million of the Company’s existing cash on hand, combined with a $60 million investment from Francisco Partners. Meanwhile, Hypercom confirmed that Tartavull will now serve as CEO and President and member of the Board. Norman Stout has been elected Chairman of the Board, replacing Daniel Diethelm who will remain as a member of the Board. Johann Dreyer, CEO and Director of S1 Corporation, has been appointed to the Board. Upon the closing of the Thales deal, Keith Geeslin, Partner of Francisco Partners, and Jack McDonnell, Jr., retired Chairman, CEO and founder of TNS, are expected to be appointed to the Hypercom Board.

Brussels-based Eurosmart reported that banking/retail smart cards grew 16% last year worldwide, reaching 175 million units. The industry group predicts that smart cards in this category will grow 17.1% in 2003 to hit 205 million units. Overall, more than 700 million microprocesor-based smart cards were shipped last year, with telecom making up 430 million of the total shipments. Eurosmart also reported that shipments of smart cards containing a memory chip with read/write capability and in some cases hardwired security functions totalled more than 1 billion last year, with 95% used in telecom. Memory cards are not considered smart cards by many. Eurosmart is the main international smart card association, representing the “Voice of the Smart Card Industry” for multi-sector applications. BONUSCARD

Europe’s largest smart payment card co-branding project has contracted
SchlumbergerSema to supply smart cards as well as the associated
personalization and deployment services. To-date, SchlumbergerSema has
delivered nearly two million cards for GarantiBank’s “BonusCard,” which is
a combined debit/credit and loyalty program. The “BonusCard” scheme was
initiated in early 2000, and today 100 retail partners have joined in the
project. GarantiBank’s customers earn loyalty points when they use their
credit/debit cards in participating retail outlets, which include white
goods stores and sports shops, as well as petrol stations and
supermarkets. These points are stored securely on the cards, for the
consumers to spend at any of those outlets, whenever they choose.

FL-based WildCard Systems says its transaction processing engine for prepaid payments cards will power the recently announced “VISA International Travel Card” in China. The company has been involved in the launch or expansion of more than three dozen different VISA prepaid products in nine different countries since 1999. The new Chinese prepaid card will potentially be used by more than 10 million outbound Chinese travelers. WildCard’s technology and systems are now in use delivering solutions for young adults, gift cards, affiliate program payment cards, insurance cards, payroll cards, fuel cards, shopping mall cards, and other special purpose and incentive-based cards. The software also features an “Application Programming Interface” and “Software Development Kit,” enabling third parties to develop Arterium support for their own applications. The software development kit provides a rapid development environment for developers to build and test code using the “API.” Arterium manages the entire lifetime of the card from launch through to expiry and enables partners who share space on the chip to retrieve and update cardholders, cards and products. Arterium is currently in use by First Data, Acer Corporation in Taiwan, and ECard in Australia.
