Gemplus Notified of AMF Fine

Gemplus International announced that the Commission
des Sanctions of the AMF (Autorite des Marches Financiers) has notified
GISA of its decision in connection with the proceeding brought against
Gemplus International. The Commission des Sanctions rejected most of
the claims made against GISA by its college. The Commission ruled that
GISA had not communicated any misleading information with respect to its
accounting results for September 2001, November 2001 and July 2002 and
also noted that GISA was not required to make any provision in its 2001
financial statements for the loan granted to its former chairman, Marc
Lassus, by one of GISA’s indirect subsidiaries in 2000, therefore ruling
out the claim that these financial statements were inaccurate. However, the Commission des sanctions considered that GISA had included
inaccurate information with respect to the Company’s security in
connection with the loan granted to Marc Lassus and imposed upon GISA a
fine of EUR 600,000, an amount significantly lower than that initially
mentioned in its report.

Major Smart Card Conference Scheduled for January

About 500 smart card executives are expected to attend next month’s “OMNICARD 2004” conference in Berlin. Featured speakers include Olivier Piou, Carlo Bozotti, Marc Lassus and Remy de Tonnac. The program will explore the market for both contact and contactless smart cards. Other areas of discussion include mobile phones, electronic signature, identity cards, and passports with biometric features, electronic tickets, electronic driving licences and vehicle registration certificates.
The event is scheduled for January 14th – 16th

GEMPLUS ADJUSTMENTS

After a weekend meeting in London, Gemplus is reportedly near the
execution of a plan to cut more than 1,000 jobs after posting a third
quarter net loss of nearly $40 million. The company is also looking to
patch up discord among its board members and management staff. Major
shareholder, Texas Pacific Group, is pushing for new board members against
the blessing of other shareholders including Dassault family and Gemplus
founder Marc Lassus. Lassus recently agreed to sell his shares in Gemplus
to Groupe SAGEM. With this purchase, Sagem will own about 10% of the
capital of Gemplus. The weekend also meeting also challenged the new
leadersip of CEO Alex Mandl. Gemplus hired Mandl on September 9th. Mandl
was the former Chairman/CEO of Teligent between 1996 and 2001, following a
four stint at AT&T, where worked his way up to President/COO. There was
some controversy between Gemplus board members over the selection of Mandl.
The debate centered on Mandl’s previous ties with the Central Intelligence
Agency. Mandl belonged to the board of trustees of In-Q-Tel, a nonprofit
organization set up by the CIA in late 1999. In-Q-Tel’s purpose was to keep
track of Internet technology on behalf of the CIA. Some board members were
concerned that Mandl’s CIA ties could affect its ability to sell its
product and services to some countries. Dow Jones reports that Mandl may be
considering a salary reduction to appease shareholders.

Paris-based Groupe SAGEM has acquired a 10% stake in Gemplus. The
ownership was effected through the buying of shares of Gemplus owned by
Marc Lassus, a Gemplus founder and one of the company’s largest
shareholders. Lassus agreed in December 2001 to cease his office as
chairman of Gemplus. SAGEM is a specialist in fingerprint identification
technologies. The firm is also the second largest French company in the
field of telecommunications and the third European Company in electronics
for defense and security. The new send Gemplus stock up about 10%.

The French firm Groupe SAGEM confirmed this morning it has acquired a stake in Gemplus. The ownership was effected through the buying of shares of Gemplus owned by Marc Lassus, a Gemplus founder and one of the company’s largest shareholders. Lassus agreed in December 2001 to cease his office as chairman of Gemplus. SAGEM is a specialist in fingerprint identification technologies. The firm is also the second largest French company in the field of telecommunications and the third European Company in electronics for defense and security. Gemplus stock is trading on Nasdaq around $2.75 per share.

Facing concern among board members, the new Gemplus CEO announced he has severed ties with a venture capital technology firm created by the U.S. Central Intelligence Agency. Alex Mandl said he has resigned from the board of CIA-funded In-Q-Tel. Gemplus International named Mandl as its new CEO, effective September 9th. Mandl was the former Chairman/CEO of Teligent between 1996 and 2001. He was also the former President/COO of AT&T. There was some controversy between Gemplus board members over the selection of Mandl, specifically his connections with the CIA. Some board members were concerned that Mandl’s CIA ties could affect its ability to sell its product and services to some countries. In December, Gemplus CEO Antonio Perez decided to resign his posts as Chief Executive Officer and director to pursue other interests. Marc Lassus, founder and one of the largest shareholders of Gemplus, also agreed in December to cease his office as chairman. Smart card manufacturer Gemplus reported a second quarter operating loss, before restructuring charges, of US$25.1 million, almost half the losses posted in 2Q/01. The company also confirmed that its interim CEO, Ron Mackintosh, has decided to step down as of August 15th, with no apparent successor named till then. 2Q/02 revenue was up 19% to US$217.9 million, and gross profit was up 34% to US$50.3 million compared to 1Q/02. However revenue for 2Q/01 was US$261.9 million and gross profit was US$96.3 million, significantly above current quarter levels. Since February, the company has gone through a restructuring that has reduced its operating costs by US$69.6 million annually. The company is seeking to cut $114.2 million from its costs by year-end, according to The RAM Report ([www.ramreport.com][1]). Gemplus also noted that it decided to include in its consolidated accounts for the second quarter a provision to cover the risk of possible non-reimbursement of a loan granted to Dr Marc Lassus, former Chairman and a current Board member, in the amount of US$69.5 million. Gemplus 4Q/01 Loss

French smart card manufacturer Gemplus International reported this morning a fourth quarter net loss of 60 million Euros compared to a profit of 40 million Euros for 4Q/00. French newspapers are also reporting that Gemplus may be cutting up to 1,000 jobs with more than 400 of the cuts being made at the Gemenos site. Gemplus said that despite stringent hiring and expense controls, the divestiture of non-core businesses and the commencement of a restructuring program in Q2 last year, the Company continues to have a cost structure that is too high for the current business environment. For the fourth quarter, Gemplus reported revenues of 251 million Euros, a decline of 35% from the same quarter one year ago. Revenue for 2001 was 1.023 billion Euros, down 15% from the previous year’s 1.205 billion Euros. Net loss for 2001 was 100 million Euros compared to a net profit of 99 million Euros for the year 2000. The company also announced today that CFO Steve Gomo will leave Gemplus in mid-March.
