Freescale Semiconductor Holdings I announced that the representatives of the underwriters for the Company’s initial public offering exercised their over–allotment option in part for 5,567,000 common shares, at a price per share of $18. The closing of the over-allotment option is expected to occur on June 14, 2011. Freescale expects to use the $96 million in net proceeds to redeem $87 million principal amount of Freescale Semiconductor, Inc.’s 10.125% Senior Secured Notes due 2018 and to pay related interest and premiums. American Express welcomed 75 emerging nonprofit leaders to the American Express Leadership Academy, which will run at both the company’s New York headquarters and at the Thunderbird School of Global Management in Glendale, Ariz. The American Express Leadership Academy is an international training program, conducted in partnership with the nonprofit Center for Creative Leadership, designed to develop the next generation of leaders in the nonprofit sector. Participants in the program are selected based on a competitive application process from national and local nonprofit partners to hear from American Express senior executives on such topics as media training, leadership training, experiential exercises, individual executive coaching, and team activities. The American Express Leadership Academy at Thunderbird in Glendale is an extension of Thunderbird’s existing Academy, a program that American Express has supported since its inception, for leaders in the social sector.
The federal anti-trust litigation commenced by Sightline Payments against Global Cash Access Holdings innovative cash access solutions and data intelligence for casinos has been dismissed. The judgment concluded Sightline Payments’ allegations were not supported by sufficient facts to establish a plausible entitlement to relief and Sightline Payments’ allegation concerning GCA’s market share, patent rights, agreements with vendors and its agreement to disassociate itself from Sightline’s President were all insufficient to support antitrust claims.
